Please read these terms carefully before using our platform.
ORAKL Terms of Service

Entity: APULU LLC d/b/a ORAKL (collectively referred to as ORAKL, we, us, or our)

IMPORTANT — PLEASE READ:
These Terms of Service (the Terms) form a legally binding agreement between you and APULU LLC d/b/a ORAKL. By creating an account, accessing, or using our websites, applications, dashboards, APIs, widgets, alerts, or related services (collectively, the Services), you agree to these Terms.
1. Who We Are; What We Do
ORAKL provides software-as-a-service tools for market-data visualization and analytics focused on equities and options. The Services are informational and educational in nature. We are not a broker-dealer or investment adviser and do not execute trades, custody assets, or provide personalized investment advice. Nothing in the Services is an offer, solicitation, recommendation, or advice to buy or sell any security.
2. Eligibility & Accounts
You must be at least 18 years old and have the legal capacity to enter into these Terms.
You are responsible for your account credentials and for all activity under your account. Keep your password secure and notify us immediately of any unauthorized use.
3. Subscriptions, Billing, and Taxes
Plans & Auto‑Renewal. Certain features are offered on a paid, auto‑renewing subscription basis (monthly or annual, as shown at checkout). You authorize ORAKL to charge your payment method at the start of each billing cycle until you cancel.
Free Trials. If we offer a trial, it converts to a paid plan unless you cancel before the trial ends.
Price Changes. We may change pricing or plan features with notice for future terms; changes are not retroactive.
Refunds. Except where required by law or our posted refund policy, all fees are non‑refundable and partially used periods are not prorated.
Taxes. Prices are exclusive of taxes; you are responsible for any applicable taxes, duties, or similar governmental assessments.
4. Market Data; Integrity; Latency
Third‑Party Sources. The Services may include data, content, and analytics from third parties and public sources. We do not guarantee the accuracy, completeness, or timeliness of any data. Market data may be delayed, interrupted, incomplete, or incorrect.
No Reliance. You acknowledge that you use the Services at your own risk, and you will independently verify information before making financial decisions.
Usage Restrictions. Except as expressly allowed by your plan: no scraping, bulk download, republishing, reselling, white‑labeling, or creating a competing dataset from the Services or data. If your plan includes API access, it is subject to separate or supplemental terms, usage caps, and fair‑use limits.
5. Acceptable Use
You agree not to, and not to permit anyone to:
(a) misuse, overload, or interfere with the Services or any related network;
(b) reverse engineer, decompile, or circumvent technical measures;
(c) upload malicious code or attempt to gain unauthorized access;
(d) harvest data or content except as permitted by your plan;
(e) use the Services for unlawful, infringing, deceptive, or harmful activities;
(f) use the Services to provide investment advice, to execute trades, or to violate securities, market‑abuse, or privacy laws;
(g) remove proprietary notices or attribution.
6. User Content; License You Grant
If you submit, upload, or share content (e.g., watchlists, notes, chat prompts, feedback), you grant ORAKL a worldwide, non‑exclusive, royalty‑free license to use, host, reproduce, display, modify, and create derivative works from your content solely to operate, improve, and provide the Services. You represent you have all rights necessary to grant this license and that your content does not infringe others’ rights.
7. AI‑Generated and Analytical Outputs
The Services may generate summaries, alerts, classifications, badges, or other analytical or AI‑assisted outputs. Outputs may be inaccurate, incomplete, or inappropriate for your use case. You are solely responsible for evaluating outputs and for any decisions you make based on them. We may use your anonymized usage to improve models and features.
8. Intellectual Property; Feedback
The Services, including software, design, compilations, interfaces, data structures, and brand elements, are owned by ORAKL or its licensors and are protected by IP laws. Other names and logos may be trademarks of their respective owners. If you send ideas or suggestions (“Feedback”), you grant ORAKL a perpetual, irrevocable, worldwide, royalty‑free license to use the Feedback without restriction or compensation.
9. Third‑Party Services
The Services may link to or interoperate with third‑party products, services, or data providers. We are not responsible for third‑party terms, content, or performance. Your use of third‑party services is governed by those third parties’ terms and policies.
10. Privacy
Our Privacy Notice explains how we collect, use, and share information. By using the Services, you consent to our data practices as described there. Where required by law, we will provide additional notices or obtain consent.
11. Suspension & Termination
We may suspend or terminate your access immediately if we believe you have violated these Terms, risk harm to the Services, other users, or third parties, or for non‑payment. You may cancel at any time via your account settings (effective at the end of your current billing period unless otherwise stated). Upon termination, your right to access the Services ceases, but certain sections survive (see §19).
12. Changes to the Services and to these Terms
We may modify or discontinue features at any time. We may update these Terms from time to time. If changes are material, we will provide notice (e.g., email or in‑product). Continued use after the effective date constitutes acceptance.
13. Disclaimers
The services and all content are provided “as is” and “as available.” To the maximum extent permitted by law, orakl and its affiliates, licensors, and suppliers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and accuracy. We do not warrant that the services will be uninterrupted, secure, or error‑free.
14. Limitation of Liability
To the fullest extent permitted by law: (a) orakl will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost opportunity, trading losses, data loss, or goodwill, even if advised of the possibility; and (b) orakl’s total liability for any claim arising out of or relating to the services or these terms will not exceed the amount you paid to orakl for the services in the 12 months before the event giving rise to liability (or $100 if you did not pay).
Some jurisdictions do not allow certain limitations; in those cases, the limitations will apply to the greatest extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless ORAKL and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Services; (ii) your content; (iii) your violation of these Terms or applicable law; or (iv) any dispute between you and a third party.
16. Export; Sanctions; Compliance
You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions, and you are not on any U.S. government restricted list. You will comply with all applicable export control and sanctions laws.
17. Governing Law; Dispute Resolution (Arbitration & Class‑Action Waiver)
Governing Law. These Terms are governed by the laws of the State of Georgia, without regard to conflicts‑of‑law principles.
Arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS (or, if JAMS is unavailable, by AAA) under its applicable rules. The seat of arbitration will be Fulton County, Georgia, and the language will be English. Judgment on the award may be entered in any court of competent jurisdiction.
Class‑Action Waiver. You and ORAKL agree that each may bring claims only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of representative or class proceeding.
30‑Day Opt‑Out. You may opt out of arbitration by emailing legal@orakl.io within 30 days of first accepting these Terms, stating your name, the email for your account, and a clear statement that you wish to opt out.
18. DMCA & Copyright Policy
If you believe content on the Services infringes your copyright, please send a notice to DMCA Agent — APULU LLC d/b/a ORAKL, 3379 Peachtree Road Northeast, Suite 655-G42, Atlanta, Georgia 30326, United States; support@orakl.io with: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the material claimed to be infringing; (d) a statement of good‑faith belief; (e) a statement under penalty of perjury; and (f) your physical or electronic signature.
19. Survival
Sections 3–5, 7–9, 11–19 survive termination.
20. Miscellaneous
Entire Agreement. These Terms constitute the entire agreement between you and ORAKL regarding the Services.
Assignment. You may not assign these Terms without our consent. We may assign these Terms, in whole or in part, without restriction.
Severability; Waiver. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver.
Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Headings. Headings are for convenience only and do not affect interpretation.
Language. The English version of these Terms controls.

If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Services.
